SHORT TITLE.\n\nThis Act may be cited as the ``Unleashing AI Innovation in\nFinancial Services Act''.\n\nSEC. 2. DEFINITIONS.\n\nIn this section:\n(1) AI test project.--The term ``AI test project'' means a\nfinancial product, service, or activity--\n(A) that falls under the jurisdiction of a\nfinancial regulatory agency;\n(B) that makes substantial use of artificial\nintelligence;\n(C) that is, or may be, subject to a Federal\nregulation or Federal statute; and\n(D) for which a regulated entity submits an\napplication for the waiver or modification of an\napplicable regulation subject to an alternative\ncompliance strategy.\n(2) Appropriate financial regulatory agency.--The term\n``appropriate financial regulatory agency'' means--\n(A) the appropriate Federal banking agency, as\ndefined in section 3 of the Federal Deposit Insurance\nAct (12 U.S.C. 1813), with respect to an institution\ndescribed in subsection (q) of that section;\n(B) the Securities and Exchange Commission, with\nrespect to an institution not described in subparagraph\n(A) that is--\n(i) any broker or dealer that is registered\nwith the Commission under the Securities\nExchange Act of 1934 (15 U.S.C. 78a et seq.);\n(ii) any investment company that is\nregistered with the Commission under the\nInvestment Company Act of 1940 (15 U.S.C. 80a-1\net seq.);\n(iii) any investment adviser that is\nregistered with the Commission under the\nInvestment Advisers Act of 1940 (15 U.S.C. 80b-\n1 et seq.);\n(iv) any clearing agency registered with\nthe Commission under the Securities Exchange\nAct of 1934 (15 U.S.C. 78a et seq.);\n(v) any nationally recognized statistical\nrating organization registered with the\nCommission under the Securities Exchange Act of\n1934 (15 U.S.C. 78a et seq.);\n(vi) any transfer agent registered with the\nCommission under the Securities Exchange Act of\n1934 (15 U.S.C. 78a et seq.);\n(vii) any exchange registered as a national\nsecurities exchange with the Commission under\nthe Securities Exchange Act of 1934 (15 U.S.C.\n78a et seq.);\n(viii) any national securities association\nregistered with the Commission under the\nSecurities Exchange Act of 1934 (15 U.S.C. 78a\net seq.);\n(ix) any securities information processor\nregistered with the Commission under the\nSecurities Exchange Act of 1934 (15 U.S.C. 78a\net seq.);\n(x) the Municipal Securities Rulemaking\nBoard established under the Securities Exchange\nAct of 1934 (15 U.S.C. 78a et seq.);\n(xi) the Public Company Accounting\nOversight Board established under the Sarbanes-\nOxley Act of 2002 (15 U.S.C. 7211 et seq.);\n(xii) the Securities Investor Protection\nCorporation established under the Securities\nInvestor Protection Act of 1970 (15 U.S.C.\n78aaa et seq.); and\n(xiii) any security-based swap execution\nfacility, security-based swap data repository,\nsecurity-based swap dealer, or major security-\nbased swap participant registered with the\nCommission under the Securities Exchange Act of\n1934 (15 U.S.C. 78a et seq.);\n(C) the Bureau of Consumer Financial Protection,\nwith respect to a covered person, as defined in section\n1002 of the Consumer Financial Protection Act of 2010\n(12 U.S.C. 5481), that does not have an appropriate\nfinancial regulatory agency under subparagraph (A),\n(B), (D), or (E) of this paragraph;\n(D) the National Credit Union Administration, with\nrespect to an insured credit union, as defined in\nsection 101 of the Federal Credit Union Act (12 U.S.C.\n1752); and\n(E) the Federal Housing Finance Agency, with\nrespect to--\n(i) a Federal Home Loan Bank;\n(ii) the Federal Home Loan Bank System;\n(iii) the Federal National Mortgage\nAssociation; and\n(iv) the Federal Home Loan Mortgage\nCorporation.\n(3) Artificial intelligence; ai.--The terms ``artificial\nintelligence'' and ``AI'' have the meaning given the term\n``artificial intelligence'' in section 5002 of the National\nArtificial Intelligence Initiative Act of 2020 (15 U.S.C.\n9401).\n(4) Commission.--The term ``Commission'' means the\nSecurities and Exchange Commission.\n(5) Federal securities laws.--The term ``Federal securities\nlaws'' means--\n(A) the Securities Act of 1933 (15 U.S.C. 77a et\nseq.);\n(B) the Securities Exchange Act of 1934 (15 U.S.C.\n78a et seq.);\n(C) the Sarbanes-Oxley Act of 2002 (15 U.S.C. 7201\net seq.);\n(D) the Trust Indenture Act of 1939 (15 U.S.C.\n77aaa et seq.);\n(E) the Investment Company Act of 1940 (15 U.S.C.\n80a-1 et seq.);\n(F) the Investment Advisers Act of 1940 (15 U.S.C.\n80b-1 et seq.);\n(G) the Jumpstart Our Business Startup Act (Public\nLaw 112-106; 126 Stat. 306); and\n(H) the Dodd-Frank Wall Street Reform and Consumer\nProtection Act (Public Law 111-203; 124 Stat. 1376).\n(6) Financial product, service, or activity.--The term\n``financial product, service, or activity''--\n(A) includes--\n(i) a financial product or service, as\ndefined in section 1002 of the Consumer\nFinancial Protection Act of 2010 (12 U.S.C.\n5481);\n(ii) activities that are financial in\nnature, as defined in section 4(k)(4) of the\nBank Holding Company Act of 1956 (12 U.S.C.\n1843(k)(4));\n(iii) any financial product or service\nprovided by a person regulated by the\nCommission, as defined in section 1002 of the\nConsumer Financial Protection Act of 2010 (12\nU.S.C. 5481); and\n(iv) the offer or sale of any security\nsubject to the Federal securities laws;\n(B) includes any internal activity of a regulated\nentity that is carried out in furtherance of the\noffering or sale of a product, service, or activity\ndescribed in subparagraph (A); and\n(C) does not include the business of insurance, as\ndefined in section 1002 of the Consumer Financial\nProtection Act of 2010 (12 U.S.C. 5481).\n(7) Financial regulatory agency.--The term ``financial\nregulatory agency'' means--\n(A) the Board of Governors of the Federal Reserve\nSystem;\n(B) the Federal Deposit Insurance Corporation;\n(C) the Office of the Comptroller of the Currency;\n(D) the Securities and Exchange Commission;\n(E) the Bureau of Consumer Financial Protection;\n(F) the National Credit Union Administration; and\n(G) the Federal Housing Finance Agency.\n(8) Regulated entity.--The term ``regulated entity'' means\nan entity regulated, or insured in the case of a credit union,\nby any financial regulatory agency.\n\nSEC. 3. AI INNOVATION LABS.\n\nEach financial regulatory agency shall establish, or identify an\noffice, division, or department of the agency that shall serve as, an\n``AI Innovation Lab'' to enable regulated entities to experiment with\nAI test projects without unnecessary or unduly burdensome regulation or\nexpectation of enforcement actions, including enforcement actions that\ndisincentivize the substantial use of artificial intelligence to\nenhance regulatory compliance practices, pursuant to the approval of an\napplication under section 4.\n\nSEC. 4. USE OF ARTIFICIAL INTELLIGENCE BY REGULATED FINANCIAL ENTITIES.\n\n(a) Application Submission.--\n(1) In general.--Beginning one year after the date of\nenactment of this Act, a regulated entity may submit to the\nappropriate financial regulatory agency an application, on a\nform determined by the appropriate financial regulatory agency,\nto engage in an AI test project through an AI Innovation Lab.\n(2) Contents.--An application submitted under paragraph (1)\nshall include--\n(A) a description of the AI test project proposed\nto be carried out by the regulated entity, including--\n(i) the type and capabilities of the\nrelevant AI technologies, systems, and\napplications; and\n(ii) the purposes and goals of the AI test\nproject;\n(B) an alternative compliance strategy that--\n(i) identifies a regulation issued by a\nfinancial regulatory agency that the regulated\nentity requests to be waived or modified;\n(ii) proposes an alternative method for the\nregulated entity to comply with the Federal\nstatute under which the regulation identified\nin clause (i) is promulgated and the purpose of\nsuch regulation, including an explanation as to\nwhy the alternative method is essential to the\noperation of the regulated entity and how the\nregulated entity would effectively manage\nrisks, including cybersecurity risks,\nassociated with the AI test project;\n(iii) describes applicable plans and\npolicies related to risk assessments, testing,\ncontrols, documentation, and monitoring and\ntheir role in managing risks described under\nclause (ii); and\n(iv) contains policies for the regulated\nentity to maintain, consistent with applicable\nlaw, cybersecurity standards, and contractual\nlimitations and obligations, records of the\nactivities of the AI test project, so long as\nsuch policies do not require the regulated\nentity to maintain any records that the\nregulated entity is not permitted to maintain\npursuant to another law or any contractual\nlimitation or obligation;\n(C) an explanation of how under the strategy\ndescribed in subparagraph (B), the AI test project--\n(i) would serve the public interest,\nimprove consumer or investor access to a\nfinancial product, service, or activity, or\npromote consumer or investor protection;\n(ii) would enhance efficiency or\noperations, foster innovation or\ncompetitiveness, improve risk management and\nsecurity, including cybersecurity, or enhance\nregulatory compliance;\n(iii) would not present--\n(I) a significant risk of loss to\nthe Deposit Insurance Fund or the\nNational Credit Union Share Insurance\nFund where the regulated entity is an\ninsured depository institution or\ninsured credit union; or\n(II) a systemic risk to the\nfinancial system of the United States;\n(iv) is consistent with the purposes of the\nanti-money laundering and countering the\nfinancing of terrorism obligations under\nsubchapter II of chapter 53 of title 31, United\nStates Code; and\n(v) would not present a national security\nrisk to the United States;\n(D) a proposed date on which the AI test project\nwould terminate and an explanation why such termination\ndate would be appropriate;\n(E) proposed limitations on the size, scope, and\ngrowth of the AI test project;\n(F) a detailed business plan; and\n(G) an estimate of the economic, market,\noperational, and public interest impact of the AI test\nproject if approved.\n(3) Joint applications.--Two or more regulated entities may\nsubmit a joint application to the same financial regulatory\nagency under paragraph (2).\n(4) Regulations of other agencies.--\n(A) In general.--Notwithstanding paragraph (2), a\nregulated entity may submit an application under this\nsubsection for an alternative compliance strategy for a\nregulation issued or enforced by a financial regulatory\nagency that is not the appropriate financial regulatory\nagency for the regulated entity.\n(B) Requirements.--An application described in\nsubparagraph (A) shall be subject to the same\nrequirements as an application described in paragraph\n(2), except that--\n(i) the regulated entity shall submit the\napplication to--\n(I) the appropriate financial\nregulatory agency; and\n(II) any other financial regulatory\nagency that--\n(aa) issued the regulation\nthat is the subject of the\nalternative compliance strategy\nand has jurisdiction over the\nregulated entity with respect\nto such regulation; or\n(bb) enforces the\nregulation that is the subject\nof the alternative compliance\nstrategy with respect to the\nregulated entity; and\n(ii) the AI test project may not take\neffect unless the application is jointly\napproved by--\n(I) the appropriate financial\nregulatory agency; and\n(II) each other financial\nregulatory agency described in clause\n(i)(II).\n(5) Notice.--A regulated entity that is regulated by, or\nsubject to regulations that are enforced by, more than 1\nfinancial regulatory agency shall provide notice of any\napplication submitted to the appropriate financial regulatory\nagency under this section to each such financial regulatory\nagency not later than 5 business days after the regulated\nentity submits the application to the appropriate financial\nregulatory agency.\n(6) Notice of intervening agency.--\n(A) Notice of intervention.--A financial regulatory\nagency that receives a notice under paragraph (5) with\nrespect to an application regarding a regulation that\nsuch agency issued or enforces may, within 30 days of\nreceiving such notice, issue a notice of intervention\nto the regulated entity and the appropriate financial\nregulatory agency of such regulated entity.\n(B) Joint approval required.--If a financial\nregulatory agency issues a notice of intervention\ndescribed in subparagraph (A), the applicable AI test\nproject may not take effect unless such financial\nregulatory agency, jointly with the financial\nregulatory agencies described in paragraph (4)(B)(ii),\napproves the application.\n(7) Agency review.--\n(A) In general.--Except as provided in subparagraph\n(D), not later than 120 days after the date on which a\ncomplete application is received by a financial\nregulatory agency under this subsection, the financial\nregulatory agency shall--\n(i) review the application and assess, to\nthe extent reasonably practicable, the\napplicant's ability to satisfy the standards\ndescribed in subparagraphs (B) and (C) of\nparagraph (2); and\n(ii) submit to the applicant in writing a\ndetermination of the agency.\n(B) Approval.--\n(i) In general.--If the applicant shows\nthat it is more likely than not that the\napplication meets the requirements for\nestablishing an alternative compliance strategy\nand satisfies the standards described in\nsubparagraphs (B) and (C) of paragraph (2), the\nfinancial regulatory agency shall approve the\napplication and notify the applicant in writing\nof--\n(I) the regulation that is the\nsubject of the alternative compliance\nstrategy;\n(II) the terms of the alternative\ncompliance strategy for the AI test\nproject;\n(III) the date on which the AI test\nproject will terminate;\n(IV) any limitations on the size,\nscope, or growth of the AI test\nproject; and\n(V) any additional limitations or\nconditions on the AI test project, as\ndetermined by the financial regulatory\nagency.\n(ii) Effect of approval.--With respect to\nan AI test project, beginning on the date on\nwhich an application submitted under paragraph\n(1) is approved and ending on the date\ndescribed in clause (i)(III)--\n(I) the appropriate financial\nregulatory agency may enforce a\nregulation described in clause (i)(I)\nonly in the manner set out in the\nalternative compliance strategy\ndescribed in clause (i)(II), subject to\nlimitations or conditions described in\nsubclauses (IV) and (V) of clause (i);\nand\n(II) except as provided in clause\n(iii), a financial regulatory agency\nthat is not the appropriate financial\nregulatory agency may not enforce a\nregulation described in clause (i)(I).\n(iii) Enforcement by another financial\nregulatory agency.--With respect to an AI test\nproject, a financial regulatory agency other\nthan the appropriate financial regulatory\nagency may enforce a regulation described in\nclause (i)(I) if--\n(I) such other financial regulatory\nagency issued or enforces such\nregulation;\n(II) the approval of such other\nfinancial regulatory agency was\nrequired for the AI test project under\nparagraph (4)(B)(ii)(II) or (6)(B); and\n(III) the alternative compliance\nstrategy described in subclause clause\n(i)(II) provides for enforcement by\nsuch other financial regulatory agency.\n(C) Denial, resubmittal, and relief.--\n(i) In general.--If a financial regulatory\nagency denies an application, the financial\nregulatory agency--\n(I) shall submit to the applicant a\nwritten notice explaining the reason\nfor denial; and\n(II) may not take an enforcement\naction related to the proposed AI test\nproject against the applicant earlier\nthan the date that is 30 days after the\ndate on which the financial regulatory\nagency submits such written notice.\n(ii) Resubmittals.--Each time an\napplication submitted under paragraph (1) is\ndenied, the regulated entity--\n(I) may submit an amended\napplication after receiving feedback\nfrom the financial regulatory agency\nmaking such denial; and\n(II) may not resubmit more than 2\napplications that are substantially\nsimilar to the denied application.\n(iii) Injunctive relief.--Notwithstanding\nclause (i)(II), a financial regulatory agency,\nby and through its own attorneys, may file a\ncivil action in an appropriate United States\ndistrict court to enjoin an active AI test\nproject if the financial regulatory agency\ndetermines that the AI test project--\n(I) presents an immediate danger to\nconsumers or investors; or\n(II) presents a risk--\n(aa) to financial markets;\n(bb) in the case of an AI\ntest project engaged in by an\ninsured depository institution\nor an insured credit union, of\nloss to a Federal deposit or\nshare insurance fund;\n(cc) of a violation of\nanti-money laundering and\ncountering the financing of\nterrorism obligations under\nsubchapter II of chapter 53 of\ntitle 31, United States Code;\nor\n(dd) to the national\nsecurity of the United States.\n(iv) Rule of construction on certain\nadministrative orders.--Nothing in clause (iv)\nshall be construed to limit a financial\nregulatory agency's authority to issue an\nadministrative order to cease the activity of\nan active AI test project where the agency\ndetermines such activity is causing unmitigable\nor irreparable harm to consumers, investors, or\nfinancial stability.\n(D) Extension; failure to make a determination.--If\na financial regulatory agency determines additional\ntime is needed to make a determination on a complete\napplication received under this subsection, the\nfinancial regulatory agency may extend the 120-day\ndeadline by one additional 120-day period. If the\nfinancial regulatory agency does not approve or deny\nthe application by the end of the initial 120-day\nperiod (or the 240-day period, in the case of\nextension), the financial regulatory agency shall be\ndeemed to have approved the application.\n(E) Additional information.--During the applicable\n120-day determination period (or the 240-day period, in\nthe case of extension), a financial regulatory agency\nmay request additional information from the regulated\nentity.\n(F) Rule of construction on fraud and market\nmanipulation authority.--Nothing in subparagraph (B) or\n(C) may be construed to limit the authority of a\nfinancial regulatory agency to take an enforcement\naction against a regulated entity with respect to fraud\nor market manipulation or for engaging in an unsafe or\nunsound practice.\n(8) Data security.--All data supplied by sponsors of AI\ntest projects to a financial regulatory agency submitted under\nthis section shall be stored and maintained in a secure manner\nby the financial regulatory agency, consistent with applicable\ndata security standards.\n(9) Regulations.--Not later than 180 days after the date of\nenactment of this Act, each financial regulatory agency shall\npromulgate regulations implementing this Act that--\n(A) shall be published in the Federal Register and\nprovide a 60-day period for public notice and comment;\nand\n(B) include--\n(i) procedures for submitting applications\nfor AI test projects and for modifying the AI\ntest projects that are approved by the agency;\n(ii) consequences for failure to comply\nwith the terms of an alternative compliance\nstrategy;\n(iii) a requirement that an AI test project\nwill include a specified termination date;\n(iv) procedures to extend the termination\ndate described in clause (iii) for a specified\ntime period;\n(v) requirements for regulated entities to\nreport the status and progress of AI test\nprojects at a frequency reasonably necessary\nfor carrying out this Act and the rules\npromulgated thereunder;\n(vi) requirements for regulated entities to\nmake disclosures reasonably appropriate to\ninform consumers or investors regarding any\ndirect interaction with an AI test project,\nwhich shall be tailored to the scale, scope,\nand risks thereof and describe the nature of\nthe AI test project and its applicable\nalternative compliance strategy;\n(vii) procedures for maintaining, as\nappropriate and consistent with applicable law,\nthe confidentiality, security, and privacy of\ninformation;\n(viii) consideration of the type and\ncapabilities of proposed AI test projects'\nrelevant AI technologies, systems, and\napplications in the development of applicable\nguidance and requirements;\n(ix) procedures for assigning appropriate\npersonnel to serve as liaisons and points of\ncontact for regulated entities with approved AI\ntest projects; and\n(x) procedures for coordinating decisions\nrelating to applications submitted jointly by\nmultiple regulated entities or applications\nsubmitted to more than one financial regulatory\nagency.\n(b) Interagency Coordination and Consultation.--The financial\nregulatory agencies shall consult, share information, and coordinate,\nand may enter into a joint memorandum of understanding, in order to--\n(1) facilitate any joint approvals of applications;\n(2) understand and establish best practices with respect\nto--\n(A) AI innovation Labs;\n(B) promulgating and updating guidance and rules\nrelated to financial products, services, and activities\nthat make substantial use of artificial intelligence\nbased on the lessons learned from AI test projects; and\n(C) AI test project applications, approvals,\nalternative compliance methods, conditions, terms,\nreporting, disclosures, oversight, and guidance; and\n(3) avoid unnecessary, duplicative, or conflicting\nprocesses or efforts with respect to AI test project\napplications, approvals, reporting, and disclosures.\n\nSEC. 5. ANNUAL REPORT.\n\n(a) In General.--Not later than 2 years after the date of enactment\nof this Act, and each year for 7 years thereafter, each financial\nregulatory agency shall submit to the Committee on Banking, Housing,\nand Urban Affairs of the Senate and the Committee on Financial Services\nof the House of Representatives an annual report on the outcomes of AI\ntest projects.
